Terms of Service

1. Provider identity and acceptance

OBANVAL INC (“OBANVAL INC”, “we”, “us”, or “Provider”) is a corporation duly registered in the State of Delaware, United States (EIN 33-1234349), with its fiscal address at 1166 Bear Corbitt Rd, Bear, DE 19701, USA, and is insured and licensed as required for its business. NO COMPLIANCE is a software product within the NO UNIVERSE portfolio operated by OBANVAL INC. OBANVAL INC is the entity that markets, sells, invoices, collects payment, and remits applicable taxes for NO COMPLIANCE and other NO UNIVERSE applications.

These Terms of Service (“Terms”) are a binding agreement between OBANVAL INC and the individual or organization that creates an account or uses NO COMPLIANCE at https://no-compliance.nestorobando.com (the “Service”). References to “NO COMPLIANCE,” “the product,” or “the Service” describe the software offering; the contracting, billing, and tax-responsible party is OBANVAL INC.

You accept these Terms by checking the acceptance box at registration, by completing checkout, or by continuing to use the Service after we post an updated version with a new effective date.

If you accept on behalf of a firm, company, or other entity, you represent that you have authority to bind that entity. The accepting user and the organization are responsible for compliance with these Terms by their staff and invited clients.

2. The Service

NO COMPLIANCE is a web-based compliance operations workspace within the NO UNIVERSE portfolio. It helps bookkeepers, accounting and tax firms, and multi-company operators track recurring obligations, collaborate with staff, exchange documents with clients, and complete guided fill-and-sign workflows.

The Service is a software tool. It is not a general ledger, payroll engine, tax-preparation product, e-file transmitter, or a substitute for licensed professional judgment. You remain responsible for filings, deadlines, notices to tax authorities, and advice you give your clients.

We may improve, add, or modify features. Material changes that adversely affect paid plan entitlements will be communicated with reasonable notice when practicable. Preview or experimental features may be labeled as such.

3. Accounts, organizations, and access

You must provide accurate registration information and keep credentials confidential. Organization Owners and Admins control invitations, roles, and client assignments.

You are responsible for activity under your organization’s accounts. Notify us promptly at nocompliance@nestorobando.com if you suspect unauthorized access.

We may suspend or terminate access that violates these Terms, threatens security or other customers, involves unpaid fees when billing enforcement applies, or remains abandoned after notice.

4. Plans, limits, and fees

Published plans (Solo, Studio, Firm, and Custom / Enterprise) include the seat and company limits described on the pricing page. Those limits are commercial entitlements and are enforced in the product.

Fees, the startup first-month offer, renewals, taxes, cancellation, and refunds are governed by the Subscription & Refund Policy. OBANVAL INC is the merchant of record for NO COMPLIANCE subscriptions. Card payments are processed by Stripe on behalf of OBANVAL INC; Stripe’s terms apply to card processing.

Failure to pay may result in restricted access when billing enforcement is enabled for your account.

5. Customer content and licenses

You retain ownership of content you upload or enter (“Customer Content”), including company profiles, documents, and signatures. You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to operate and improve the Service for you.

You represent that you have the rights and lawful basis to upload Customer Content and to invite clients to view or sign materials.

We do not claim ownership of your client relationships or work product.

6. Acceptable use

You must comply with the Acceptable Use Policy. Prohibited conduct includes unauthorized access, abusive automation, malware, sharing others’ data without a lawful basis, and using the Service to facilitate fraud or unlawful activity.

7. Confidentiality and security

We treat Customer Content as confidential and apply the technical and organizational measures described in the Security Overview and Privacy Policy. You must configure roles and client assignments appropriately for your practice.

No online service can guarantee absolute security. You agree to use industry-reasonable practices to protect your accounts and devices.

8. Electronic signatures and records

Fill-and-sign and related features rely on the Electronic Signature and Records Consent. Firm customers decide when electronic signatures are appropriate for their clients and are responsible for retaining signed copies as their practice requires.

9. Privacy and data processing

Personal data is handled as described in the Privacy Policy. Where we process personal data on behalf of a firm customer, the Data Processing Addendum applies.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted or error-free, or that it will satisfy every regulatory deadline applicable to your practice. Operational reminders in the Service do not replace your professional obligations.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, MISSED FILINGS, PENALTIES, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THAT PERIOD (OR USD $100 IF YOU HAVE PAID NOTHING).

Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum permitted by applicable law.

12. Indemnity

You will defend and indemnify us against third-party claims arising from Customer Content, your use of the Service, your clients’ use, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct or gross negligence.

13. Term, suspension, and termination

These Terms continue while you have an account. You may stop using the Service and request account closure as described in the Data Retention & Deletion policy. We may suspend or terminate for cause as described above.

Sections that by nature should survive (including ownership, confidentiality, disclaimers, liability limits, indemnity, and governing law) survive termination.

14. Changes

We may update these Terms by posting a revised version with a new effective date. Material changes affecting paid customers will be communicated by email or in-product notice when practicable. Continued use after the effective date constitutes acceptance of the updated Terms.

15. Governing law and contact

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, except where mandatory consumer or local law requires otherwise.
